Terms of Use

These Terms are a binding agreement between you and Cerceal Labs ("Cerceal", "we", "us") covering the Cerceal website, editor, hosting and related services (the "Service"). By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.
1. Eligibility and accounts
You must be at least 13 years old, and old enough to form a binding contract where you live. If you use the Service for an organisation, you confirm you are authorised to bind that organisation to these Terms.
You are responsible for everything that happens under your account, for keeping your credentials secure, and for telling us promptly at legal@cerceal.cloud if you suspect unauthorised access.
2. The Service
Cerceal generates websites and application code from your prompts using third-party AI models, and can host the result at a Cerceal URL or a domain you connect. The Service is provided on an evolving basis: features, models, limits and pricing can change, and we may modify, suspend or discontinue any part of it.
Usage may be metered through build credits or other limits. We may apply fair-use limits and throttle, queue or refuse requests to protect the platform.
3. Your content
You keep ownership of the prompts, files and other material you submit ("Input") and, as between you and us, of the code, text and assets the Service returns to you ("Output"), to the extent such material is capable of ownership.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit and display Input and Output solely to operate, secure, support and improve the Service, and to comply with law.
AI Output is generated statistically. Similar prompts from other users may produce similar Output, and we make no claim that Output is unique, original, or free of third-party rights. You are responsible for reviewing Output before you publish or rely on it.
4. Your responsibilities for what you publish
You are solely responsible for any site you build, publish or operate with Cerceal, including its content, its legal notices, and its handling of personal data of its own visitors. If your site collects personal data, you are the controller of that data and must provide your own privacy notice and lawful basis.
You must follow our Acceptable Use Policy. We may remove content, disable a published site, or suspend or terminate an account that we reasonably believe violates these Terms, the Acceptable Use Policy, or applicable law, or that creates risk or legal exposure for us or others.
5. Third-party services
The Service depends on third parties, including AI model providers, cloud hosting, databases and domain registrars. Their availability, output and terms are outside our control, and outages or changes on their side may affect the Service. Your use of any third-party service you connect is governed by that provider's terms.
6. Fees, credits and cancellation
Paid plans and credit packs are billed in advance and, unless required by law or stated otherwise in writing, are non-refundable. Unused credits may expire at the end of the period in which they were granted. You can cancel at any time; cancellation stops future charges and takes effect at the end of the current billing period.
We may change pricing with reasonable notice, effective for the next billing period.
7. Our intellectual property
The Service itself, including the Cerceal name, logo, interface, templates, runtime and underlying software, remains our property. These Terms grant you a limited, revocable, non-transferable right to use the Service, and nothing more. Do not copy, resell, reverse engineer or scrape the Service, or use it to build a competing product.
8. Disclaimer of warranties
The Service and all Output are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
Output may be inaccurate, insecure, incomplete or unsuitable for your purpose. It is not legal, financial, medical or other professional advice. You must independently review, test and secure any code or content before production use. Some jurisdictions do not allow certain exclusions, in which case those exclusions apply only to the extent permitted.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor for lost profits, revenue, goodwill, business, data or content, or for the cost of substitute services, however caused and on any theory of liability.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of the amounts you actually paid us for the Service in the three months before the event giving rise to the claim, or fifty United States dollars.
10. Indemnity
You will defend, indemnify and hold harmless Cerceal Labs and its officers, employees and contractors from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of your Input, your Output, the sites you publish, your breach of these Terms or the Acceptable Use Policy, or your violation of any law or third-party right.
11. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access immediately for breach, suspected abuse, non-payment, legal requirement, or risk to the platform. On termination, your right to use the Service ends and we may delete your projects and data after a reasonable period.
12. Changes to these Terms
We may update these Terms. Material changes will be signalled by updating the date at the top of this page and, where appropriate, by notice in the product. Continuing to use the Service after changes take effect means you accept the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws applicable at Cerceal Labs' principal place of business, without regard to conflict-of-laws rules, and the courts there have exclusive jurisdiction, except where mandatory consumer-protection law in your country of residence gives you the right to bring proceedings locally.

14. General
If any provision is found unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy and Acceptable Use Policy, are the entire agreement between us.
